1. Acceptance of Terms

By accessing or using Keywords Analytics Platform ("Platform", "Service", "we", "us", "our"), you ("User", "you", "your") agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you must not access or use the Platform.

By clicking "I Accept" or by using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Service Description

Keywords Analytics Platform is a keyword research and analytics tool that provides:

• Keyword Research: Search volume data from Google Ads API
• Competition Analysis: Competition levels (LOW/MEDIUM/HIGH)
• Cost-Per-Click Estimates: CPC data for advertising planning
• Keyword Suggestions: Automated discovery of related keywords
• Keyword Decomposition: Break down phrases into individual words
• Auto Discover: Automated keyword discovery workflows
• Workspace Management: Organize keywords into workspaces and groups

The Service uses the Google Ads API to retrieve keyword data. All keyword metrics are provided by Google and are subject to Google's data policies.

3. User Account

3.1 Registration

To use the Platform, you must:

• Authenticate using Google OAuth
• Provide a valid Google account email address
• Be at least 16 years of age
• Comply with all applicable laws and regulations

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your Google account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

3.3 Account Deletion

You may request account deletion at any time by contacting [email protected]. Upon deletion, all your data will be permanently removed within 30 days.

4. User Responsibilities

4.1 Acceptable Use

You agree to use the Platform only for lawful purposes. You must NOT:

• Violate any local, state, national, or international law
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to the Platform or other users' accounts
• Reverse engineer, decompile, or disassemble the Platform
• Use automated tools (bots, scrapers) without written permission
• Resell or redistribute keyword data obtained from the Platform
• Abuse API quotas or attempt to bypass rate limits

4.2 Google API Compliance

You agree to comply with:

• Google API Terms of Service
• Google API Services User Data Policy
• Google Ads API usage policies and quota limits

5. Google API Usage and Limitations

5.1 API Quota Limits

The Platform is subject to Google Ads API quota limits:

• Daily quota: Limited number of API requests per day
• Rate limiting: Maximum requests per second
• Fair use: We may impose additional usage limits to ensure fair access

Exceeding quota limits may result in temporary service interruption.

5.2 Data Accuracy

Keyword data is provided by Google Ads API. We do NOT guarantee:

• Accuracy of search volume estimates
• Real-time data (data may be delayed)
• Completeness of keyword suggestions
• Consistency across different queries

5.3 Service Dependencies

The Platform depends on third-party services:

• Google OAuth: For user authentication
• Google Ads API: For keyword data retrieval
• Google Autocomplete API: For keyword suggestions

If these services are unavailable, the Platform may not function correctly. We are not responsible for third-party service outages.

6. Intellectual Property

6.1 Platform Ownership

All content, features, functionality, design, code, and trademarks of the Platform are owned by Keywords Analytics Platform and protected by:

• International copyright laws
• Trademark laws
• Other intellectual property rights

6.2 Google Data Ownership

Keyword data provided via Google Ads API is owned by Google LLC. This data is licensed to you for use within the Platform only. You may NOT:

• Export and resell Google keyword data
• Use Google data outside the Platform
• Claim ownership of Google-provided data

6.3 User Content

You retain ownership of keywords and data you create or upload. By using the Platform, you grant us a limited license to:

• Store your keywords in our database
• Process your data to provide the Service
• Display your data back to you

We will NOT sell, share, or use your keyword data for any purpose outside of providing the Service to you.

7. Data Collection and Privacy

Your use of the Platform is also governed by our Privacy Policy, which explains:

• What personal data we collect
• How we use Google OAuth data
• How we store and protect your data
• Your data rights (access, deletion, export)
• Cookie usage and tracking

By using the Platform, you consent to data collection and use as described in the Privacy Policy.

8. Service Availability

8.1 Uptime

We strive to provide continuous service availability, but we do NOT guarantee:

• 100% uptime or uninterrupted access
• Error-free operation
• Specific response times

8.2 Maintenance

We may perform scheduled or emergency maintenance, which may result in:

• Temporary service interruptions
• Limited functionality
• Data processing delays

We will attempt to notify users of scheduled maintenance in advance.

8.3 Service Modifications

We reserve the right to:

• Modify or discontinue features at any time
• Change pricing (with notice)
• Update the Platform architecture
• Deprecate old features

9. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Title
• Accuracy or completeness of data
• Uninterrupted or error-free operation
• Security of data transmission

No Professional Advice: The Platform provides data and tools, but NOT professional advice. We are not responsible for business decisions made based on keyword data.

10. Limitation of Liability

WE SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, or consequential damages
• Lost profits or revenue
• Loss of data or business opportunities
• Business interruption
• Punitive damages

ARISING FROM:

• Your use or inability to use the Platform
• Errors, bugs, or inaccuracies in keyword data
• Unauthorized access to your account
• Third-party service failures (Google APIs)
• Service interruptions or downtime

Maximum Liability: In no event shall our total liability exceed the amount you paid us in the 12 months preceding the claim (or $100 if no payments were made).

11. Indemnification

You agree to indemnify, defend, and hold harmless Keywords Analytics Platform, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of applicable laws
• Your misuse of the Platform
• Your use of Google API data in violation of Google's terms

12. Termination

12.1 Termination by User

You may stop using the Platform at any time. To delete your account, contact us at [email protected].

12.2 Termination by Us

We reserve the right to suspend or terminate your access immediately, without notice, for:

• Violation of these Terms
• Fraudulent, illegal, or abusive activity
• Non-payment (if applicable)
• Excessive API quota usage
• Security threats
• At our discretion, for any reason

12.3 Effect of Termination

Upon termination:

• Your right to use the Platform ceases immediately
• Your account and data may be deleted
• You must stop using all Google API data obtained through the Platform
• Sections 6, 9, 10, 11, 14, and 15 of these Terms survive termination

13. Changes to These Terms

We may update these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending email notification (for significant changes)
• Displaying a prominent notice on the Platform

Your continued use of the Platform after changes constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Platform.

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the European Union and the Republic of Moldova, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through:

1. Informal Negotiation: Contact us first at [email protected] to resolve the issue informally.
2. Arbitration: If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the rules of the European Arbitration Chamber.
3. Class Action Waiver: You agree to resolve disputes on an individual basis only, not as part of a class action.

14.3 Jurisdiction

You agree to submit to the exclusive jurisdiction of courts located in Moldova for any disputes that cannot be resolved through arbitration.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Keywords Analytics Platform regarding the Service.

15.2 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force.

15.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these Terms. We may assign these Terms to any affiliate or successor.

15.5 Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control (natural disasters, war, strikes, government actions, etc.).
